What Gets Filed When You Form a Business

The day a small business owner filed their LLC, they submitted a government record that is still publicly searchable, available to anyone with a browser, and sold in bulk to commercial data brokers.

LLC formation requires a registered agent, a principal address, and in most states a contact name. For a small business owner who formed their company from home, those fields typically contain their home address and personal name. Secretary of State databases are public by law. They are searchable by name, by address, and by EIN. They are also available for bulk download by any commercial entity that submits a request.

Annual report filings extend the record. A small business owner who files annual reports on time is refreshing and confirming a public database entry every year. Each filing contains the current address, the owner's name, and in many states the EIN. Every update confirms and extends the file. The longer the business has been active, the more complete and current the public record becomes.

Commercial data brokers do not search Secretary of State databases one entry at a time. They request and receive full state exports on a scheduled basis. The entire state's LLC registry, every address, every owner name, every EIN, is packaged and delivered. A small business owner's record is not singled out and retrieved. It is included automatically in every export, every time.

Amending the record does not erase what came before. The original formation document, every annual report filed, and every subsequent amendment remain part of the permanent public file. A small business owner who changes their registered address still has every prior address attached to their company name in the historical archive. Data brokers who pulled prior exports hold those addresses independently, regardless of what the live state database now shows.

They are counting on every small business owner's compliance. The RuleDraft Small Business Isolation Manual gives you the tactical steps to decouple your assets immediately.
